("BENEV," "we," "us," or "our") — including any related content, features, and services (collectively, the "Site(s)" and "Services") — the registered licensed facility or healthcare provider ("Facility," "Customer," or "You") agrees to the terms and conditions set forth below. Please read these Terms of Use ("Terms") thoroughly to ensure a full understanding of Your rights and responsibilities in connection with the Site(s).
If You do not agree to these Terms, do not access or use the Site(s) or Services.
1. Site Access
You are being provided a limited, revocable, non-transferable, non-sublicensable, and non-exclusive right to access and use the Site(s). By accessing and using the Site(s) and/or Services, You acknowledge and accept these Terms and all other policies, guidelines, and standards referenced herein. Please consult these Terms regularly as they may change from time to time.

You must register as a Facility and authorize the use and disclosure of the Facility's address, applicable license(s), appropriate contact person(s), and any other necessary details ("Facility Information") before actively participating in the Services, as further described in BENEV's Privacy Notice.
2. Service Description
BENEV offers licensed facilities and authorized healthcare professionals secure online access to procure cosmeceutical, pharmaceutical, and medical device products directly from BENEV (www.BENEV.com / Shop.BENEV.com (www.LetyboUSA.com/Shop.LetyboUSA.com) and its contracted vendors. Once Your Facility is vetted and registered, Authorized Users will have access to:

• Secure web-based account login
• Catalogue visibility with real-time pricing
• Shopping cart and purchase order (PO) generation
• Email order notifications
• Customer support
• Reporting, invoicing, and billing (collectively, the "Services").
3. Payment Terms; Late Fees; Returns
Payment Terms
Each time You complete a purchase through the Site(s), full payment shall be made at the time of order placement. Payments may be made via credit card or other approved payment method. Payment card details are collected and processed by BENEV's third-party payment processor; BENEV does not store full payment card numbers.

Late Fees
Whenever a late payment is due to a cause attributable to Customer, all amounts not paid when due shall accrue interest daily at the lesser of an annual rate of eighteen percent (18%) or the highest rate permissible by applicable law on the unpaid overdue balance, until paid in full.

Returns
Product returns are subject to BENEV's applicable return policy as posted on the Site(s) at the time of purchase. Returns may not be permissible for all product categories. Where a vendor return policy applies, that policy governs.
4. Content for Informational Purposes Only
Information available on the Site(s) and through the Services — including any medically related content, text, data, graphics, images, product details, and other material (collectively, "Information") — is provided for informational and purchase-facilitation
purposes only. All medically related Information is derived from independent healthcare professionals and organizations.
Such Information does not constitute and shall not be construed as a professional opinion, medical advice, or a basis for diagnosing or treating any condition. Nothing stated or posted on the Site(s) and/or Services is intended to be the practice of medicine or the provision of medical care.

BENEV does not monitor or review the content of third-party websites linked to or from the Site(s). Opinions or information expressed on linked websites are not necessarily shared or endorsed by BENEV.

BENEV is not responsible for the privacy practices or content of third-party websites. You are encouraged to review the privacy policies of any third-party websites You visit. BENEV will not accept responsibility for any loss or damage resulting from Your disclosure of information to third parties reached through links on the Site(s).

BENEV makes no representation, guarantee, or warranty — express or implied — about the fitness, suitability, qualifications, or quality of any vendor's products. You are responsible for independently evaluating the qualifications and credentials of any vendor before placing an order. BENEV is not responsible for cancelled or missed deliverables, nor for damages resulting from the misuse or unavailability of products or services delivered or undelivered by any vendor.
6. User Representations and Acknowledgements
By purchasing products through the Site(s), You acknowledge, understand, and agree:

• Choosing a vendor or product is entirely Your own choice and responsibility.

• You will pay the full costs published on the Site(s) for any and all products You receive through the Site(s).

• Vendors are listed on the Site(s) pursuant to a contractual agreement between each vendor and BENEV. Vendors may pay a fee to appear on the Site(s).

• Products purchased are intended for Your own use and are not for resale.

• If You choose to rely on Information provided by the Site(s), You do so solely at Your own risk.

• The Site(s) serve as a platform facilitating the purchase of products from BENEV and its contracted vendors. BENEV does not manufacture, compound, possess, or produce all products sold through the Site(s) and is not responsible for third-party vendor products.
7. Website Accuracy
The timeliness and accuracy of Information on the Site(s) is not guaranteed. BENEV is not responsible for any errors or omissions or for the results obtained from use of such Information.

You remain responsible for any employee or agent to whom You provide Credentials, whether or not obtained with Your permission or consent.

You may not use contact information obtained through the Site(s) to send unsolicited bulk communications such as spam. You may not allow others to use Your account to violate the terms of this section. BENEV may terminate Your purchasing status or access to the Site(s) immediately and take other legal action if You or anyone using Your Credentials violates
these provisions.

You may not use the Site(s) in any manner that could damage, disable, overburden, or impair BENEV's servers or networks, or interfere with any other party's use of the Site(s). You may not attempt to gain unauthorized access to any Services, user accounts, computer systems, or networks.

Without limiting the foregoing, You agree that You shall not:

• Copy, share, modify, adapt, translate, or reverse engineer any portion of the Site(s), including any content, materials, or code.

• Remove, copy, distribute, republish, sell, or exploit any copyright, trademark, or other proprietary rights notices contained in or on the Site(s) for any commercial purpose.

• Use any robot, spider, search and retrieval application, or other automated device, process, or means to access, retrieve, or index any portion of the Site(s).

• Access or index any portion of the Site(s) for the purpose of constructing a searchable database of reviews related to the healthcare industry or vendors.

• Reformat or frame any portion of the web pages that are part of the Site(s).
​
• Fraudulently place or queue orders with no intention of completing them.
​
• Create user accounts by automated means or under false or fraudulent pretenses.
​
• Collect or store personal data about other users of the Site(s).
​
• Use any means to conduct web scraping of any portion of the Site(s).
9. Copyright Notice
All content included on the Site(s) — such as text, graphics, logos, images, photographs, audio clips, digital downloads, data compilations, and software ("Content") — is the property of BENEV, exclusively owned by BENEV or its corporate affiliates or third-party licensors, and is protected by United States and international copyright laws.

Content may not be copied, distributed, republished, uploaded, posted, or transmitted in any way without BENEV's prior written consent, except that You may download, print, and use pages from the Site(s) for Your own informational, non-commercial purposes.
10. Disclaimer of Warranties
The Site(s) and Services are provided by BENEV on an "as-is" and "as-available" basis. BENEV makes no representations or warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement of third-party rights. Your use of the Site(s) and Services is at Your sole risk.

BENEV does not warrant that the Information on the Site(s) is accurate, reliable, up-to-date, or correct; that the Site(s) will be available at any particular time or location or for any period of time; or that the Site(s) is free of errors, defects, viruses, or other harmful components. 11. General Limitation of Liability
Neither BENEV, nor any of its affiliates, directors, officers, or employees, nor any other party involved in creating, producing, or delivering the Site(s) or Services, is liable for any direct, incidental, consequential, special, indirect, or punitive damages arising out of Your access to, or use of, the Site(s) or Services, or the failure of the Site(s) to operate or produce any specific result.

In no event shall BENEV be liable for any direct, indirect, special, punitive, incidental, exemplary, or consequential damages whatsoever — even if previously advised of the possibility of such damages — whether in an action in contract, negligence, or any other theory, arising out of or in connection with the use, inability to use, or performance of the information, services, products, and materials available from the Site(s).

If You are a California resident, You waive Your rights with respect to California Civil Code Section 1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor." Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, BENEV's liability shall be limited to the maximum extent permitted by law.
12. Termination
Upon any violation of these Terms or Site policies (including BENEV's Privacy Notice) by You or someone using Your Credentials, BENEV may terminate and/or suspend Your registration and access to the Site(s) immediately, with or without notice. BENEV may also cancel or suspend Your registration for any other reason, including inactivity for an extended period, upon thirty (30) days written notice.

You shall have the right to terminate Your purchasing status upon thirty (30) days written notice to BENEV. BENEV shall not be liable to You or any third party for any termination of Your access to the Site(s) or any of the Services. You agree not to attempt to use the Site(s) or Services following any termination or suspension.

Provisions of these Terms that by their nature continue after termination — including intellectual property rights, disclaimers, limitations of liability, and data privacy obligations — shall survive the termination or expiration of these Terms.
13. Entire Agreement
These Terms, together with BENEV's Privacy Notice and any supplemental terms, policies, rules, and guidelines posted on the Site(s), constitute the entire agreement between You and BENEV with respect to the subject matter hereof and supersede all previous written or oral agreements. If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect the original intentions of the parties, and the remaining portions shall remain in full force and effect.

BENEV's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. By accessing the Site(s), You shall be deemed to accept BENEV's Privacy Notice as posted on the Site(s).
14. Assignment
You may not assign this Agreement without BENEV's prior written consent. BENEV may assign this Agreement in connection with a transfer of all or substantially all of BENEV's assets, in connection with any corporate restructuring, or as reasonably necessary to provide continuity of the Services.
15. Eligibility
You must be 18 years of age or older, or the legal age to form a binding contract in Your jurisdiction if that age is greater than 18, to register with BENEV or use the Site(s) and Services.

Only duly registered facilities in good standing and appropriately licensed with state Pharmacy boards, the Drug Enforcement Agency (DEA), the Food and Drug Administration (FDA), and applicable state laws — and licensed healthcare providers and organizations duly licensed and authorized to procure and possess pharmaceuticals, including controlled substances — may utilize the Services and the Site(s).

Products purchased through the Site(s) are for Your own use and will not be re-sold. If You do not qualify under these Terms, do not use the Site(s) or Services. The Services are void where prohibited by applicable law, and the right to access the Site(s) and/or Services is hereby revoked in such jurisdictions.

By using the Site(s) or the Services, You represent and warrant that You have the right, authority, and capacity to enter into these Terms and to abide by all terms and conditions set forth herein. The Site(s) are administered in the United States and intended for U.S. users only; any use outside of the U.S. is prohibited.
16. Data Privacy
This Agreement establishes the terms under which BENEV and You may acquire and use data from the other party. Either party may be a provider of data to the other party or a recipient of data from the other party. You acknowledge that all data on the Site(s), supplied via email, or in any other format from BENEV is proprietary and shall not be released to any unauthorized third party.

Neither party shall share, publish, or otherwise release any confidential findings or conclusions derived from analysis of data obtained from the other party without prior written approval. Both parties shall comply with all applicable federal and state laws and regulations governing the confidentiality of information obtained in connection with use of the Site(s) and Services.

Your use of the Site(s) is further governed by BENEV's Privacy Notice, available at BENEV.com, which is incorporated herein by reference.
17. Authorized Users
"Authorized Users" means persons who access the Site(s) and/or Services on Your behalf, including without limitation pharmacy directors or any other duly authorized employees or representatives of Your Facility. All Authorized Users are subject to these Terms.

Facilities are exclusively responsible for ensuring that Authorized Users are aware of and comply with these Terms at all times. Any act or omission by an Authorized User shall be deemed an act or omission by the Facility, and any violation of these Terms by an
Authorized User shall be deemed a violation by the Facility. Only Authorized Users with authority to enter into binding agreements on the Facility's behalf may place orders on the Site(s).
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.
19. Application and Effective Date
You must comply with any other Terms posted on BENEV's Site(s). In the event of any conflict between these Terms and those posted on any other BENEV site, these Terms shall control. This Agreement becomes effective immediately upon first access to or use of the Site(s) and applies to each subsequent visit or use thereafter.

ACKNOWLEDGMENT
By accessing, browsing, or otherwise using the Site(s), You acknowledge that You have read, understood, and agree to be bound by these Terms of Use. BENEV may revise these Terms from time to time; the then-current version will be posted on the Site(s). Continued access to or use of the Site(s) after any such revision constitutes Your acceptance of the Terms as modified. If You do not agree to these Terms, or any subsequent revision, You must immediately discontinue all use of the Site(s).
